Yours Virtually

Terms & Conditions

The legal bit

These Terms of Business (“Agreement”) set out the legal agreement between you (“Client”) and YoursVirtually.com, a brand owned and operated by World Interactive LLC, a Delaware limited liability company (“Company”). By subscribing to or using any of the Company’s services, you agree to be bound by these terms.

1. Definitions

In this Agreement, the term “Company” refers to YoursVirtually.com, owned and operated by World Interactive LLC. The term “Client” refers to the individual, company, or organization that subscribes to or uses the Company’s services. The term “Services” refers to any service provided by the Company, including but not limited to virtual mailbox, virtual receptionist, and virtual assistant services. The term “Agreement” refers to this contract, which applies for the entire period that the Client uses the Company’s services.

2. Scope

This Agreement applies to all services provided by the Company to the Client. Services are provided on a subscription basis, either monthly or annual, and continue until cancelled in accordance with Section 9.

3. Payment

Services will only commence once full payment has been received. All subscriptions renew automatically unless cancelled by the Client in accordance with Section 9. The Client is responsible for ensuring that their payment method has sufficient funds for renewal. If payments fail and are not remedied within thirty days, the Company may suspend or terminate services immediately. While suspended, no services will be provided, and the Company shall not be liable for any resulting losses. Payment is accepted by debit or credit card, ACH or bank transfer, or other methods listed on the Company’s website.

4. Service Levels

The Company strives to provide a reliable and high-quality service but does not guarantee that services will be uninterrupted, error-free, or always available. The Company is not responsible for delays, interruptions, or failures caused by third parties, technical issues, or circumstances outside its reasonable control. The Client acknowledges that acceptance of services by third parties, such as whether a third party accepts a virtual address or call handling, is outside the Company’s control.

5. Acceptable Use

The Client must use the services only for lawful, ethical, and legitimate purposes. The Client must not use the services for activities that are illegal, obscene, fraudulent, defamatory, harassing, or that could cause reputational damage to the Company. The Client must not use the services in any way that violates applicable local, state, federal, or international laws, and must not impersonate others, misrepresent affiliations, or use the services to transmit spam or abusive content. The Company reserves the right to suspend or terminate services immediately if it reasonably believes the Client is in breach of these obligations.

6. Confidentiality and Data Protection

The Company will treat all Client information as confidential. However, the Company may disclose Client information if required by law, subpoena, or court order. The Company may use anonymized data to improve its services but will not sell or share identifiable Client data without consent.

7. Verification (KYC)

The Company may require Clients to provide identification documents and other information for verification purposes. Failure to provide requested documentation may result in suspension or termination of services.

8. Client Responsibilities

The Client agrees to maintain accurate and up-to-date account, billing, and contact information. The Client must secure login credentials and is responsible for all activity under their account. The Client must also ensure compliance with all laws and regulations in their use of the services.

9. Cancellation

To cancel a service, the Client must submit a written cancellation request via email at least forty-eight hours prior to the next renewal date. The Company will require the Client to complete an offboarding process before cancellation is finalized. Services will remain active until the end of the current billing period, and pro-rata refunds will not be provided, except as set out in Section 10.

10. Refund Policy

All fees are non-refundable once services have commenced. Services are deemed to have commenced upon confirmation of service  following payment. If the Client does not complete any further steps required for certain services after receiving the initial confirmation, this will not constitute eligibility for a refund. While all sales are final, refund requests may be considered in exceptional circumstances and are granted solely at the Company’s discretion. Refunds are not guaranteed and will only be issued where required by law or in cases of material breach by the Company.

11. Intellectual Property

The Company retains all rights, title, and interest in its websites, technology, content, trademarks, and processes. The Client retains ownership of their own data but grants the Company a limited license to use that data solely to provide the services.

12. Disclaimer of Warranties

All services are provided “as is” and “as available.” The Company disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law, the Company’s total liability to the Client shall not exceed the total fees paid by the Client in the twelve months preceding the claim. The Company shall not be liable for indirect, incidental, special, or consequential damages, including but not limited to lost profits, loss of data, or reputational harm. Nothing in this Agreement limits liability for fraud, intentional misconduct, or any other liability that cannot be limited under applicable law.

14. Indemnification

The Client agrees to indemnify and hold harmless the Company, its owners, officers, employees, and agents from and against any claims, damages, liabilities, and expenses arising from the Client’s use of the services, breach of this Agreement, or violation of law.

15. Non-Solicitation

The Client agrees not to solicit, hire, or engage any Company employees or contractors during the term of this Agreement and for twelve months after its termination.

16. Force Majeure

The Company shall not be liable for any failure or delay in performance caused by events outside its reasonable control, including but not limited to natural disasters, strikes, acts of war, terrorism, labor disputes, internet or power outages, government actions, or failure of suppliers or third-party providers.

17. Dispute Resolution and Arbitration

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding. The Client waives the right to participate in any class action or representative proceeding against the Company. Nothing in this section prevents either party from seeking injunctive or equitable relief in court.

18. Amendments

The Company may update these Terms of Business from time to time. Clients will be notified by email or via the Company’s website. Continued use of services after updates constitutes acceptance of the revised terms.

19. Termination

The Company may suspend or terminate services immediately if the Client fails to pay fees on time, if the Client violates acceptable use policies, or if the Company determines that continuation of the services poses risk of harm to the Company or others.

20. Service-Specific Terms
A. Virtual Mailbox Services

Clients must comply with all U.S. Postal Service regulations. U.S. law requires all clients to complete and notarize USPS Form 1583 (Application for Delivery of Mail Through Agent) and provide two forms of identification before mail can be received, handled, or forwarded. Clients must not use the mailbox to receive items that are illegal, restricted, hazardous, or otherwise prohibited by postal services or shipping carriers. The service address provided may change for operational reasons. While the Company will make reasonable efforts to provide advance notice, it cannot guarantee that such changes will not occur. The Company accepts no responsibility for loss or personal injury caused to Clients or their guests when visiting Company premises. The Client understands that the Company does not accept visitors at the service address, including the Client, as collections are not permitted unless otherwise agreed in writing. The Client must not encourage visitors in any way, nor visit unannounced. In such situations, the Company reserves the right to charge the Client a $25 fee per unauthorized visit. The Company provides a physical mail address for Clients to use. While this is, and should be, widely accepted, the Company has no control over whether third parties choose to accept it. The Company cannot be held responsible for such decisions. The Company will endeavour to assist where possible, but the Client accepts that these issues are strictly between them and the relevant third party.

B. Virtual Receptionist Services

The Company will allocate the Client a telephone number, which may be diverted to or advertised directly by the Client. The allocated number remains the property of the Company. While the Client is authorized to use it, the number cannot be transferred or ported away. The Company does not guarantee that the allocated number will not change. Where possible, reasonable advance notice will be provided if a change becomes necessary. By default, services include only message notifications. Any additional reporting must be requested in advance and may incur additional charges. The Company endeavours to answer incoming calls in a timely manner, typically within three rings. However, in rare cases of unexpected or unusually high call volumes, response times may be longer, and in extreme cases, some calls may be missed.

C. Virtual Assistant Services

Virtual assistant tasks are completed on a best-efforts basis. The service aims to respond to tasks and requests in a timely manner and complete them at a reasonable pace. Time spent is recorded and deducted from the Client’s allowance. While the Company strives to accommodate Clients, it reserves the right to refuse any task or request deemed inappropriate, unreasonable, or not possible. The Company is not liable for the outcome of any task performed or not performed.

21. Miscellaneous

If any provision of this Agreement is found unenforceable, the remaining provisions remain in full effect. Failure to enforce any provision is not a waiver of the right to enforce it later. Notices may be delivered by email or posted on the Company’s website and shall be deemed effective upon sending or posting. The sections regarding confidentiality, limitation of liability, indemnification, non-solicitation, and dispute resolution survive termination of this Agreement. Section headings are for convenience only and do not affect interpretation.

22. Governing Law

This Agreement is governed by and shall be construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. The parties agree that any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Delaware.

23. Entire Agreement

This Agreement constitutes the entire agreement between the Company and the Client with respect to the services and supersedes all prior agreements, understandings, or representations.
